TERMS OF SALE

Care Franchising Limited ("we", "our", "us") — registered in England and Wales, company number 16271445, registered office at Kingscott Dix, Goodridge Court, Goodridge Avenue, Gloucester, GL2 5EN — operates the Care Franchising Compliance digital store at carefranchisingcompliance.myshopify.com (the "Store").

These Terms of Sale ("Terms") govern every purchase you make from the Store. By placing an order, you confirm that you have read, understood and accepted these Terms.

If you are buying on behalf of a business or care organisation (which is the typical case), you confirm that you have authority to bind that organisation, and references to "you" or "Buyer" mean both you personally and the organisation.

1. What you are buying

The Store sells digital policy suites and toolkits — collections of Microsoft Word and Microsoft Excel documents that you can download after purchase. You are buying a licence to use these documents within your care organisation. You are not buying the underlying intellectual property, copyright, or any right to resell, redistribute, sublicense, or franchise the documents to third parties. The licence terms are set out in our separate Licence Terms page, which forms part of these Terms.

2. Your statutory rights and the cooling-off period

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, consumers who buy at a distance normally have a 14-day cooling-off period during which they may cancel and receive a refund. For digital content, this right ends as soon as you start to download or stream the content — provided you have given express consent and acknowledged that you will lose your cancellation right.

When you place an order on the Store, you will be asked to tick a box confirming:

"I expressly consent to the immediate provision of my digital content. I understand and acknowledge that by doing so, I lose my statutory right of cancellation under the Consumer Contracts Regulations 2013 once the download has commenced."

You cannot complete checkout without ticking this box. If you do not tick it, you have the standard 14-day cooling-off period — but no download will be made available to you during that period.

This affects consumer buyers only. The Consumer Contracts Regulations do not apply to business buyers (organisations buying for use in a care service), and accept these Terms as a B2B contract.

3. Pricing, VAT, and payment

Prices on the Store are in pounds sterling (£).

VAT: Care Franchising Limited's VAT registration status will be confirmed on every invoice. Prices displayed on the Store are inclusive of any applicable VAT unless otherwise stated. If you are a VAT-registered business buyer requiring a VAT invoice, please get in touch with us at hello@carefranchising.co.uk, and we will issue one for you.

We accept payment by debit card, credit card, Apple Pay, Google Pay, and PayPal via Shopify Payments. Payment is taken at the point of order. We do not store your payment card details — these are processed and held by our payment processor.

If we have made a genuine pricing error and the correct price is materially higher than the displayed price, we reserve the right to cancel the order and refund any money taken before the digital content is delivered. We will contact you and offer the option to re-order at the correct price.

4. Order confirmation and delivery

Once your payment is accepted, you will receive an order confirmation email containing a link to download your digital content. Download is normally available immediately. You should download all files to a safe location on your own systems within 30 days of the order; download links may expire after this period.

If you have not received your download link within one hour of payment, check your email spam folder, then contact us at hello@carefranchising.co.uk. We will reissue the link.

We are responsible for ensuring the correct file is delivered. We are not responsible for issues caused by your email provider, anti-virus or anti-spam software, mailbox limits, internet connection, or device storage.

5. Refund policy

Our Refund Policy is set out in full on our Refund Policy page and forms part of these Terms. In summary:

  • Once you have downloaded your digital content, the sale is final, and no refund will be issued.
  • If you have placed an order and have not yet downloaded the content, you may request cancellation and a full refund — provided the request is made within 14 days of the order.
  • If a file is genuinely faulty, corrupted, or materially different from the description on its product page, we will replace the file or refund the order at our discretion.

6. Quality and accuracy

We take great care to ensure that every policy suite is current, accurate, and aligned to UK regulation as it stood at the date of publication.

However:

  • No policy suite is a substitute for legal, regulatory, or clinical advice. Our policies are templates that must be customised to your organisation, service type, and circumstances. Customisation is the buyer's responsibility.
  • Regulation changes. A policy suite reflects the regulation as of the version date shown on the cover. You are responsible for keeping your operational policies up to date. Our optional Maintenance Subscription will provide you with version updates as regulations change.
  • CQC inspection outcomes are not guaranteed. Buying our policy suites does not guarantee a positive CQC inspection outcome. Inspection outcomes depend on your operational delivery, evidence, leadership and the specific findings of the inspection team — not on the policy library alone.

7. Limitation of liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded by law.

Subject to the paragraph above, our total liability to you in connection with any order or these Terms is limited to the price you paid for the relevant order.

We will not be liable for:

  • Any indirect, consequential, or special loss
  • Loss of profit, business, contracts, revenue, anticipated savings, or goodwill
  • Any loss arising from your customisation of the documents
  • Any loss arising from a CQC, ICO, HSE, or other regulatory finding against you, including any enforcement action
  • Any loss arising from your use of, or reliance on, the documents

This is consistent with the buyer's responsibility for customisation, operational delivery, and ongoing maintenance set out in section 6 above.

8. Intellectual property

All copyright, design rights, and intellectual property in the documents and the Store remain our property. You acquire only the licence rights set out in our Licence Terms. You must not:

  • Resell, redistribute, sub-license, or franchise the documents
  • Remove our copyright or attribution markings (other than [INSERT] placeholders intended for your white-labelling)
  • Use the documents to create a competing compliance library for sale or distribution
  • Train any artificial intelligence or machine learning system on the documents

9. Privacy

Our handling of your personal data is set out in our Privacy Policy, which forms part of these Terms.

10. Changes to these Terms

We may update these Terms from time to time. The version that applies to your order is the version published on the Store at the time you placed the order. Updated Terms will apply to future orders.

11. Governing law and jurisdiction

The laws of England and Wales govern these Terms. Any dispute arising in connection with these Terms or your order will be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Complaints and contact

If something has gone wrong, please get in touch with us first at hello@carefranchising.co.uk — we will do our best to resolve any issue quickly and fairly.

If you remain unsatisfied, consumers may use the EU Online Dispute Resolution platform (which remains accessible to UK consumers post-Brexit) or take any other lawful action available to them.
